CCC Intelligent Solutions Holdings Inc. announced on October 14, 2026, that it has entered into a definitive agreement to be acquired by a consortium of private investment firms led by GTCR, with Elliott Investment Management L.P. also participating. The transaction is structured as an all-cash merger in which Mozart Parent, LLC, a Delaware limited liability company, will acquire CCC.
Under the terms of the agreement, each share of CCC common stock will be converted into the right to receive $7.75 in cash. This price represents a premium of approximately 44% to the company's unaffected closing stock price on July 9, 2026, and a premium of approximately 59% to the 30-day average price as of that date. The enterprise value of the transaction is approximately $6.1 billion.
The merger will be effected through Mozart Merger Sub (DE), Inc., a wholly owned subsidiary of Mozart Parent. Upon completion, CCC will become a privately held company, and its common stock will no longer be listed on the Nasdaq Stock Market. The transaction is not subject to a financing condition and is expected to close in the first quarter of 2027, subject to customary closing conditions, including the approval of CCC stockholders and the expiration of applicable Hart-Scott-Rodino waiting periods.
CCC’s board of directors unanimously approved the agreement and resolved to recommend that stockholders adopt it. The company’s employee stock purchase plan will be terminated immediately prior to the effective time of the merger. In the event of termination, CCC is required to pay a termination fee of $149,520,000, while Mozart Parent is required to pay a termination fee of $313,992,000.
CCC’s third quarter 2026 financial results are scheduled to be released on October 29, 2026. The company will not host a conference call or webcast to discuss these results.
