Cardiff Oncology, Inc. has filed a Current Report on Form 8-K dated October 22, 2026, disclosing two significant corporate changes: an amendment to its charter to increase authorized common stock and the appointment of a new interim Chief Medical Officer.

On October 22, 2026, the Company filed a Certificate of Amendment to its Amended and Restated Certificate of Incorporation with the Secretary of State of Delaware. The amendment became effective upon filing and increased the authorized number of shares of common stock to 300,000,000. This change was made to provide the Company with additional flexibility regarding its capital structure.

In a separate personnel update, the Company announced that Dr. Roger Sidhu, Chief Medical Officer, separated from the Company on October 22, 2026, in connection with a mutually agreed upon transition. On October 23, 2026, Cardiff Oncology entered into an amended and restated consulting agreement with Leila Alland, M.D. Consultancy LLC. Under this agreement, Dr. Leila Alland will serve as the interim Chief Medical Officer.

The consulting agreement is set to commence on October 23, 2026, and remain in effect until the earlier of April 22, 2027 or the completion of all services. The agreement may be extended by mutual agreement. Dr. Alland will receive a monthly fee of $35,000 and will devote up to 50% of her professional time to the role.

Dr. Alland brings extensive experience in oncology drug development. She has previously served as Chief Medical Officer at PMV Pharma, Affimed, and Tarveda Therapeutics. Prior to these roles, she held leadership positions at AstraZeneca, Bristol Myers Squibb, Novartis, and Schering-Plough, contributing to the development of therapies including Opdivo, Tagrisso, Tasigna, and Caelyx. She currently serves on the Board of Directors of Abeona Therapeutics.

CEO Mani Mohindru noted that Dr. Alland’s expertise will be instrumental as Cardiff Oncology prepares to initiate its registrational Phase 3 study in the first quarter of 2027. The Company is currently conducting a randomized Phase 2 trial in first-line RAS-mutated metastatic colorectal cancer, where the median progression-free survival has not been reached for the proposed Phase 3 regimen.
