Capital One Financial Corporation announced on September 15, 2026, that it has closed a public offering of senior notes. The company raised a total of €1.5 billion in aggregate principal amount through the issuance of two series of Fixed-to-Floating Rate Senior Notes.

The offering consisted of €750,000,000 of 4.326% Fixed-to-Floating Rate Senior Notes due 2032, and €750,000,000 of 4.832% Fixed-to-Floating Rate Senior Notes due 2037.

The notes were issued pursuant to a Senior Indenture dated November 1, 1996, as supplemented by a First Supplemental Indenture dated November 2, 2021. The transaction was managed by a syndicate of underwriters led by Barclays Bank PLC, Deutsche Bank AG, London Branch, Goldman Sachs & Co. LLC, and Morgan Stanley & Co. International plc, with Capital One Securities, Inc. acting as a representative. The Bank of New York Mellon, London Branch, was appointed as the paying agent for the transaction.
