Cambium Networks Corporation has completed the sale of its defense business and certain fixed broadband product lines to Airspan Communications Limited. The transaction, finalized on September 22, 2026, was executed simultaneously with the execution of a Business Sale Agreement by Cambium Networks Ltd (CNL), the company’s indirect, wholly-owned subsidiary.

The sale was not subject to any closing conditions. The total purchase price consists of a base cash amount of $27.5 million, plus a contingent amount equal to 50% of the net collections on transferred accounts receivable, capped at a maximum of $7.5 million. Airspan paid the base price, less certain transaction costs and an aggregate holdback of $2.5 million. Of this holdback, $2.0 million is payable to CNL following the final determination of a post-completion statement, while $0.5 million may be retained by Airspan for 18 months to cover potential losses or liability claims.

In addition to the asset transfer, the parties entered into several agreements. These include a transitional services agreement, a license agreement allowing Airspan to use the cnMaestro software, a distribution agreement permitting CNL to resell the transferred products, and a license to occupy CNL’s leased facilities in Ashburton, United Kingdom.

The company does not expect to retain any net proceeds from the sale. Substantially all of CNL’s assets are subject to security interests held by Bank of America, N.A. under the company’s secured credit facility. The Administrators of CNL applied the sale proceeds to the administration process. The company anticipates that after paying administration and sale costs, the remaining funds will be used to repay amounts outstanding under the Credit Facility, which exceed the aggregate consideration paid. Consequently, the company expects no proceeds to be available for distribution to unsecured creditors or holders of its ordinary shares. Following the sale, the Administrators will attempt to sell the remainder of CNL’s assets, and the company expects to dissolve and wind up its operations in the Cayman Islands.
