Cambium Networks Corporation has completed the sale of its remaining business operations to Univastu UK Limited, according to a Form 8-K filed with the SEC on October 14, 2026. The transaction, executed by Cambium Networks, Ltd. (CNL) in administration, transfers the company's remaining product lines and subsidiaries to Univastu for approximately $5.1 million in cash.
The assets sold include the ePMP and PTP 550 fixed wireless products, PON (fiber) equipment, cnRanger and Wi-Fi access points, switching gear, Network Security Edge products, and the cnMaestro management platform. The deal also includes the goodwill associated with the business, the rights to use the "Cambium" and "Cambium Networks" names, intellectual property rights, and all shares held by CNL in its subsidiaries located in India, Mexico, China, Hong Kong, Colombia, Brazil, the Netherlands, Argentina, Singapore, and South Africa.
Univastu assumed liabilities under the transferred contracts and the obligation to complete the separation of the cnMaestro platform. Employees assigned to the Remaining Business transferred to the buyer by operation of law. Accounts receivable, cash, insurance, and tax assets were excluded from the transaction.
The filing states that the sale was not subject to closing conditions and was completed simultaneously with the signing of the Business Sale Agreement. The company cautions that its ordinary shares are highly speculative and that shareholders should expect a complete loss of their investment. Following the transaction, CNL has disposed of substantially all of its business lines and operating assets, and the company no longer has any operating subsidiaries.
The proceeds from the sale were paid to CNL for application in the administration process. The company expects that after paying administration and sale costs, the remaining net proceeds will be used to repay amounts outstanding under its secured credit facility with Bank of America, N.A. Consequently, the company does not expect any proceeds to be available for distribution to unsecured creditors or holders of its ordinary shares.
Cambium Networks also disclosed that it expects CNL to proceed from administration into liquidation and that the company will subsequently be dissolved and wound up in accordance with Cayman Islands law.
