Brookfield Private Equity Fund LP (the “Fund”) entered into a revolving credit agreement on October 9, 2026, with GLAS USA LLC acting as administrative and collateral agent and Canadian Imperial Bank of Commerce serving as lead arranger and lender. Under the terms of the agreement, the lenders have committed to provide a senior secured revolving credit facility with an aggregate principal amount of up to $200 million, subject to customary conditions.
The facility allows for the maximum aggregate commitments to be increased up to $500 million, provided the Administrative Agent and each Lender provide approval and certain conditions are met. Borrowings under the agreement will accrue interest based on Term SOFR or the Alternate Base Rate, with specific margins of 3.15% and 2.15% respectively for cash payments. The Borrower is also required to pay a commitment fee of 0.70% per annum on the daily unused amount of the commitments.
The agreement has an initial stated maturity date of October 8, 2027, with automatic one-month extensions contingent upon the Loan-to-Value (LTV) Ratio remaining at or below the Maintenance LTV Ratio. Proceeds from the loans are permitted for general corporate purposes, including financing investment activities, funding redemptions or distributions to investors, paying management and performance fees, and settling hedging obligations. The obligations are secured by a first priority lien on the Borrower’s assets, including its interests in BPEF US Aggregator (ON) LP, and are limited recourse.
Additionally, as a condition to closing, lenders under a prior credit agreement entered into a subordination agreement, ensuring that obligations under the new facility take priority over the prior subordinated credit agreement.
