The Brink's Company (NYSE: BCO) announced on October 8, 2026, that the United Kingdom's Competition and Markets Authority (CMA) has accepted in principle a proposed remedy for the company's pending acquisition of NCR Atleos Corporation (NYSE: NATL). To address UK-specific regulatory concerns, Brink's is proceeding with the divestiture of its NoteMachine/TestLink UK business. The company stated that this divestiture is intended to serve as an undertaking in lieu of a Phase 2 investigation by the regulator.

Brink's emphasized that the potential sale of NoteMachine/TestLink UK was a remedy contemplated in the financial metrics previously disclosed by the company. The firm confirmed that this divestiture does not impact the $200 million in annual run-rate cost synergies it expects to achieve within three years of closing the transaction. The company remains committed to selecting a suitable buyer and concluding the divestiture process in a timely manner to avoid a Phase 2 referral.

According to the filing, the acquisition of NCR Atleos remains on track to close early in the first quarter of 2027. The press release included a statement from Mark Eubanks, President and Chief Executive Officer of Brink's, who expressed appreciation for the CMA's constructive engagement throughout the review process.
