The sponsor agreed to advance the funds to make these deposits. The funds will be released upon the closing of the business combination, liquidation, or June 25, 2027, whichever occurs first. The company also agreed to pay escrow agent fees and will not make withdrawals from the trust account for working capital purposes following the agreements.
