Bluejay Diagnostics, Inc. announced on September 1, 2026, the execution of a Distribution, Co-Marketing & Strategic Partnership Agreement with Lovell Government Services, Inc. Under the terms of the agreement, Lovell will serve as a distributor for Bluejay’s medical diagnostic products to federal, state, and local government customers in the United States.

The partnership grants Lovell specific rights regarding federal procurement opportunities. Lovell has a non-exclusive right to list and resell Bluejay’s products on open-market government procurements. Additionally, Lovell holds a sole and exclusive right to distribute the products for federal procurement opportunities that require or favor Service-Disabled Veteran-Owned Small Business (SDVOSB) set-aside status. This exclusive territory includes procurements by the U.S. Department of Veterans Affairs (VA), Department of Defense (DoD), and Indian Health Service (IHS), utilizing vehicles such as the VA Federal Supply Schedule, GSA Advantage, GSA Multiple Award Schedule, ECAT, and DAPA.

Financial terms of the agreement include a one-time discounted establishment fee of $5,500 for multi-contract vehicle setup. Lovell is entitled to a distribution fee of approximately 15% on gross sales made through its federal catalogs, which is added to the Company’s cost of goods sold. An additional fee of 2% on gross sales is allocated for sales made through Lovell’s catalogs listed with DAPA prime vendors. Lovell is required to remit full payment to Bluejay within three business days after receipt of payment from the government customer or within thirty days of receiving a valid invoice.

The agreement has an initial term of two years and automatically renews for successive one-year terms unless either party provides at least ninety days’ advance written notice of non-renewal. It includes provisions for immediate termination if the other party is suspended from a healthcare program, subject to bankruptcy proceedings, faces a final judgment exceeding $100,000, or permanently discontinues operations. The agreement also includes a co-marketing and strategic partnership component, under which the parties will collaborate on joint marketing plans, conferences, and educational initiatives to develop awareness among federal healthcare stakeholders.
