Blue Owl Technology Finance Corp. (NYSE: OTF) has entered into a Note Purchase Agreement to issue $150,000,000 in aggregate principal amount of 7.60% Series 2026A Senior Notes due September 3, 2032. The transaction was completed on September 3, 2026, and the notes were sold to qualified institutional investors in a private placement.
The notes are general unsecured obligations of the company, guaranteed by certain subsidiaries. Interest is payable semiannually on March 3 and September 3, beginning March 3, 2027. The notes may be redeemed at the company's option at par plus accrued interest, and the company is obligated to offer to prepay the notes at par plus accrued interest in the event of a change in control.
The Note Purchase Agreement includes customary covenants, such as maintaining a minimum net worth of $4,943,000,000 and a minimum asset coverage ratio of 1.50 to 1.00. The agreement also stipulates interest rate adjustments in the event of a Below Investment Grade Event or a Secured Debt Ratio Event.
In a related press release, the company announced that this transaction is its third financing since June 30, 2026, bringing total debt financing raised during that period to $800 million. This total includes $400 million issued in August and $250 million raised through a special purpose vehicle facility. The company stated that this additional funding strengthens its liquidity and financial flexibility.
