Blaize Holdings, Inc. (Nasdaq: BZAI) filed a Current Report on Form 8-K on October 5, 2026, announcing a revision to its full-year 2026 revenue guidance and providing preliminary figures for the third quarter of 2026.
The company now expects total revenue for 2026 to be between $32.0 million and $36.0 million. This revised guidance is based on binding, non-cancellable purchase orders from NeoTensr and a new purchase order from an existing customer that is currently in the process of being signed.
The company noted that shipments to NeoTensr this quarter relate to a contract announced in April 2026 for up to $50.0 million. The updated outlook reflects changes in shipment timing and the company’s management of working capital to meet inventory purchase needs.
Regarding the third quarter, Blaize reported preliminary revenue of approximately $0.5 million for the three months ended September 30, 2026. This revenue was earned in August and relates to the sale of manufactured hardware products to a customer in Europe.
The company stated that it has sufficient inventory on hand to partially fulfill orders in the fourth quarter and is working with suppliers to obtain the balance before the end of the year. However, it noted that delays in timing or payments from customers during the fourth quarter could adversely affect revenue recognition.
In addition to the financial updates, the filing disclosed that the company and certain employees and board members received subpoenas and inquiries from the U.S. Department of Justice in July and August 2026. The company is also cooperating with a voluntary request for information from the U.S. Securities and Exchange Commission regarding similar matters.
Furthermore, a class action complaint was filed against the company and certain officers and directors on September 17, 2026, in the United States District Court for the Central District of California. The complaint alleges false and misleading statements regarding contracts with Starshine and NeoTensr and seeks unspecified damages and relief.
