During his tenure at Torys, Mr. Chaikof focused on mergers and acquisitions, corporate governance, private equity, and capital markets matters in both Canada and the United States. The filing notes that Mr. Chaikof served as external counsel to BlackBerry for more than a decade, providing him with a longstanding understanding of the company and its business.
Mr. Chaikof also has experience serving as a director and Chair of Leitch Technology Corporation through its acquisition by Harris Corporation. The BlackBerry Board Chair, Dick Lynch, stated that Mr. Chaikof’s extensive cross-border transaction experience and deep relationships in the business community will be a benefit to the company.
Following this appointment, the size of the BlackBerry Board has increased from eight to nine directors. Of these nine directors, eight are independent, including Mr. Chaikof. The filing confirms that Mr. Chaikof will receive the same compensation and indemnification as the Company’s other non-employee directors and that there are no related party transactions or other arrangements that would require specific disclosure.
