On October 28, 2026, Beneficient (NASDAQ: BENF) announced that it and certain subsidiaries have filed a motion to intervene in ongoing litigation at the Delaware Court of Chancery. The motion targets a case previously brought by HCLP Nominees, L.L.C. against Delaware Trust Company.

The filing includes a proposed verified complaint that seeks to invalidate the HCLP credit agreements and related loan documents. Beneficient alleges that the debt is fraudulent and originated from a scheme led by the company's former Chief Executive Officer, Brad Heppner. The company is seeking to recover approximately $211 million previously paid toward the purported debt and establish that HCLP has no valid claim to the related collateral.

Beneficient estimates that a successful outcome would eliminate approximately $130 million of the purported HCLP debt, leaving the company with an unleveraged balance sheet. The legal action draws on evidence presented during Heppner’s criminal trial, which resulted in his conviction in May 2026 for securities fraud and wire fraud. Heppner’s sentencing has been rescheduled for January 11, 2027.

The company stated that it continues to pursue a potential consensual resolution with Heppner and his affiliated entities. However, no definitive agreement has been reached, and the outcome of the litigation remains uncertain.
