Beazer Homes USA, Inc. has completed a merger with Dream Finders Homes, Inc., resulting in the company becoming a wholly owned subsidiary of Dream Finders. The transaction, valued at $33.50 per share, closed on October 20, 2026.

Under the terms of the Agreement and Plan of Merger, dated August 6, 2026, each share of Beazer common stock issued and outstanding immediately prior to the closing was converted into the right to receive $33.50 in cash. This Merger Consideration applies to all outstanding shares, excluding treasury stock, shares held by Dream Finders or its subsidiary, and shares held by dissenting shareholders.

The merger also triggered the termination of Beazer's Credit Agreement, dated October 13, 2022, with JPMorgan Chase Bank, N.A. Additionally, the company's $350 million aggregate principal amount of 7.250% Senior Notes due 2029 was redeemed in full on the closing date.

As a result of the merger, the New York Stock Exchange (NYSE) has suspended trading of Beazer shares. The exchange will file a Form 25 to delist the stock, which becomes effective 10 days after filing. Following this, Beazer expects to file a Form 15 to terminate its registration under the Securities Exchange Act.

Beazer's board of directors was dissolved at the closing. Seven directors from Dream Finders Merger Sub—Patrick O. Zalupski, Rick Beckwitt, Justin W. Udelhofen, Megha H. Parekh, Leonard M. Sturm, William W. Weatherford, and Steve Fischer—were appointed to the Beazer board. The company's existing officers will continue in their roles following the merger.

Beazer's certificate of incorporation and bylaws were amended and restated in their entirety to reflect the merger.
