BCB Bancorp, Inc. (NASDAQ: BCBP) has announced the closing of a public offering of its common stock. The offering, managed by Piper Sandler & Co., involved the sale of 12,650,000 shares, which included the full exercise of the underwriter's over-allotment option.

The shares were sold at a public offering price of $7.75 per share. The aggregate gross proceeds from the transaction were approximately $98,037,500. After deducting underwriting discounts and commissions and estimated offering expenses, the net proceeds to the company were approximately $92,445,438.

The offering was conducted pursuant to a registration statement on Form S-3 (File No. 333-298337) declared effective by the SEC on August 25, 2026.

The company stated that it intends to use the net proceeds for general corporate purposes. These include maintaining liquidity, funding working capital needs, supporting Bank capital, reducing debt, and maintaining capital and liquidity ratios at acceptable levels.

BCB Bancorp is the holding company for BCB Community Bank, which operates twenty-two branch offices in New Jersey and four branches in New York.
