Bank7 Corp. has amended its agreement to acquire Century Financial Services Corporation, raising the purchase price by more than $20 million. The transaction involves purchasing approximately 71% of Century's outstanding common stock.
Originally, Bank7 agreed to pay $68.0 million for 237,136 shares of Century common stock. The deal was subject to a court-supervised auction to determine the highest bidder. On September 3, 2026, the Receiver for the Receivership Estate determined that Bank7's bid was the highest or best offer.
Consequently, Bank7 entered into a First Amendment to the Stock Purchase Agreement. The amendment increases the cash purchase price to $88,960,000. This figure reflects Bank7's successful bid of $91,000,000 at the auction, which included a credit for a break-up fee of $2,040,000.
The amendment does not alter other material terms of the original agreement. The transaction remains subject to conditions to closing, including the entry of a Sale Order by the United States District Court for the District of Arizona and approval from the Board of Governors of the Federal Reserve System.
