Bank7 Corp. has entered into a definitive agreement to acquire Century Financial Services Corporation, the parent company of Century Bank, in a transaction valued at approximately $137.3 million. Under the terms of the Merger Agreement, Century will merge with and into Bank7, with Bank7 serving as the surviving entity. Following the merger, Century Bank will merge with Bank7’s subsidiary. Bank7 intends to retain the Century Bank name and brand.
The transaction consideration consists of $70 million in cash and 1,232,657 shares of Bank7 common stock. Based on 332,683 shares of Century common stock outstanding, this equates to $210.41 in cash and 3.7052 shares of Bank7 stock for each share of Century common stock. The shares issued as consideration will be restricted securities issued via a private placement exempt from registration under the Securities Act.
Century Bank is a legacy institution founded in 1887, operating eight branches in New Mexico and two loan production offices in Texas. As of June 30, 2026, the bank reported total assets of $1.36 billion, total deposits of $1.23 billion, and gross loans of $845 million. The acquisition is expected to create a combined Southwest banking organization with approximately $3.3 billion in total assets.
The merger is contingent upon the approval of Century’s shareholders, the receipt of required regulatory approvals, and the satisfaction of customary closing conditions. Century’s directors, executive officers, the receiver, and certain minority shareholders have entered into voting agreements supporting the transaction. The transaction is intended to qualify as a tax-free reorganization for U.S. federal income tax purposes and is expected to close in the fourth quarter of 2026.
