Bandwidth Inc. (NASDAQ: BAND) has announced a leadership transition within its legal department. Effective September 1, 2026, Emily C. Harlan has been appointed as the company's General Counsel and Secretary, succeeding R. Brandon Asbill.
Harlan has been with Bandwidth since December 2018, initially serving as Deputy General Counsel before being promoted to Senior Vice President and Deputy General Counsel in July 2024. Prior to joining the company, she was a partner at Nixon Peabody LLP in Washington, D.C. Bandwidth’s Co-founder and CEO, David Morken, stated that Harlan is a “trusted advisor and proven leader” who has earned the confidence of the leadership team over the past eight years.
Asbill, who has served as General Counsel and Secretary for over five years, will retire from the company on December 31, 2026. Asbill is transitioning to a non-executive advisory role as General Counsel Emeritus and Assistant Secretary effective September 1, 2026, to ensure a smooth handover of duties. The company noted that Asbill’s decision to retire is a personal one and not the result of any dispute with the Board of Directors.
In connection with her new role, Harlan entered into an Employment Agreement on September 1, 2026. The agreement stipulates an initial base salary of $360,000 annually. Her target cash incentive bonus is set at 50% of her base salary, with the 2026 award pro-rated for her partial year of employment. Additionally, she will receive a restricted stock unit (RSU) award valued at $1,000,000, subject to vesting schedules over three years.
Asbill’s transition is governed by a separate Letter Agreement. He will continue to receive his current base salary through December 31, 2026. In lieu of his target bonus for 2026, subject to Compensation Committee approval, Asbill is eligible for the acceleration of unvested RSUs with an aggregate value equal to his target bonus.
