Azenta, Inc. has announced the full repayment of a vendor loan related to the sale of B Medical Systems. The loan, originally extended in July 2026, was repaid on September 3, 2026, prior to its maturity date.
The transaction involved Azenta Germany GmbH, a wholly owned subsidiary of Azenta, extending a secured term loan to Thelema S.à r.l. The loan had an aggregate principal amount of $35,000,000 and carried an interest rate of 6.0% per annum. The loan was secured by a pledge over the equity interests of B Medical Systems.
The repayment was made in the aggregate amount of $35,373,333, which included the principal amount plus all accrued interest. As a result of this repayment, the Vendor Loan Agreement has been terminated, the share pledge has been released, and the credit exposure associated with the transaction has been retired.
Azenta has now received the entire $63,000,000 purchase price for B Medical Systems in cash. The company stated that the repayment of the vendor loan completes the divestiture of B Medical Systems and supports its disciplined approach to capital allocation.
