On October 28, 2026, Azenta, Inc. entered into a Technology, Equipment and License Agreement with Elegen Corp. Under this arrangement, Azenta acquired an exclusive, royalty-free license to Elegen’s proprietary technology for gene synthesis and cell-free cloning. This license permits Azenta to manufacture, market, and distribute certain gene synthesis products globally. The agreement includes a five-year initial term, which may be extended by mutual agreement. Azenta holds an option to convert its license rights to an irrevocable, perpetual, exclusive, royalty-free license by paying $25 million between 12 and 18 months after execution.

The deal also includes a Master Services and Supply Agreement, under which Elegen will supply Azenta with proprietary consumables and provide access to its facility for training and process development. The total capital deployment for these Elegen Agreements is expected to range from approximately $32 million to approximately $71 million, depending on future capital equipment purchases and the exercise of the perpetual license option.

Separately, Azenta announced the acquisition of SynPlexity Inc. on the same date. SynPlexity is a DNA assembly technology company focused on providing large, multiplexed gene libraries for functional screening and drug discovery. Azenta intends to integrate SynPlexity’s technology into its GENEWIZ synthesis portfolio to support high-throughput discovery workflows.

Azenta stated that these transactions are separate from one another and are intended to support the continued development of its DNA synthesis capabilities. The company noted that these investments are designed to improve DNA quality, delivery speed, and manufacturing scalability, while also enabling regional capacity to be added closer to customers.
