authID Inc. has announced a leadership transition effective September 4, 2026. The company’s Board of Directors has accepted the resignation of Chief Executive Officer Rhoniel A. Daguro, effective September 4, 2026. Mr. Daguro will continue to serve as a member of the Board and has been appointed Chairman of the Board, effective immediately.

The resignation is classified as a resignation for "Good Reason" under the Executive Retention Agreement dated March 23, 2023. The filing states the resignation was not the result of a disagreement with the company regarding operations, policies, or practices.

In a separate move, the Board appointed Thomas R. Szoke as Interim Chief Executive Officer, effective September 4, 2026. Mr. Szoke is a co-founder of the company and currently serves as Chief Technology Officer. He rejoined the company on March 9, 2023, and has over 35 years of experience in government security and identity access management.

Compensatory arrangements for both executives have been amended. For Mr. Szoke, the letter agreement increases his annual base salary to $300,000 and includes a $10,000 cash bonus. Additionally, he is eligible for a $210,000 cash bonus upon the closing of a "Corporate Transaction" if he remains CEO.

The agreement with Mr. Daguro provides for a monthly stipend for health care coverage for up to 12 months following his termination date. He is also eligible for a $400,000 cash bonus tied to a Corporate Transaction, provided he remains Chairman. Furthermore, the company will grant Mr. Daguro options to purchase 80,000 shares of common stock and a warrant to purchase 20,000 shares of common stock.
