Auddia Inc. has amended the terms of senior unsecured bridge notes issued to its target companies, increasing the maximum funding available under each agreement. The amendment, dated October 16, 2026, was filed with the U.S. Securities and Exchange Commission.
Under the original agreements, Auddia provided interim funding to four entities controlled by Dr. Jeffrey Thramann: Thramann Holdings, LT350, Influence Healthcare, and Voyex. The purpose of these Bridge Notes was to provide working capital while Auddia awaited the closing of a merger agreement with McCarthy Finney, Inc.
The amendment raised the maximum funding limits for each entity as follows:
- Thramann Holdings: Increased from $360,000 to $420,000.
- LT350: Increased from $400,000 to $1,900,000.
- Influence Healthcare: Increased from $590,000 to $900,000.
- Voyex: Increased from $50,000 to $85,000.
The total maximum funding available under the amended notes is $3,305,000. The filing notes that amounts will be funded in tranches as mutually agreed upon by the parties. Any advance exceeding $50,000 requires approval from Auddia’s Audit Committee. The Bridge Notes remain in full force and effect, except for the specific increases detailed above.
