aTyr Pharma, Inc. has filed a Certificate of Amendment to its Restated Certificate of Incorporation with the Delaware Secretary of State to implement a one-for-forty (1-for-40) reverse stock split of its outstanding common stock. The amendment was approved by the Company’s board of directors and stockholders at a Special Meeting of Stockholders held on October 16, 2026. The reverse split is scheduled to become effective at 5:00 p.m. Eastern Time on October 28, 2026.
Under the terms of the amendment, every forty (40) shares of the Company’s issued and outstanding common stock will automatically combine into one (1) issued and outstanding share of common stock. The authorized shares of common stock will remain 340,000,000, and the par value per share will not change. As a result of the split, the number of shares outstanding will be reduced from approximately 100.5 million to approximately 2.5 million shares.
The reverse stock split will affect all shares of common stock outstanding immediately prior to the effective time. Proportionate adjustments will be made to the per share exercise price and the number of shares issuable upon the exercise or vesting of all outstanding stock options, restricted stock units, and warrants. Fractional shares will not be issued; instead, stockholders of record who would otherwise be entitled to a fractional share will receive a whole share.
Following the effective time, the Company’s common stock will begin trading on The Nasdaq Capital Market under the same ticker symbol, “ATYR,” on a split-adjusted basis when the market opens on October 29, 2026. The new CUSIP number for the common stock following the split is 002120301.
