Atmos Energy Corporation has completed a public offering of debt securities, according to a Form 8-K filed with the Securities and Exchange Commission on October 9, 2026.

The company sold $700 million in aggregate principal amount of 6.000% Senior Notes due 2036. The offering was registered under the Securities Act of 1933 pursuant to a registration statement on Form S-3 (Registration No. 333-283563) and a Prospectus Supplement dated October 6, 2026.

Atmos Energy received net proceeds of approximately $691.4 million from the sale, after deducting underwriting discounts and estimated offering expenses.

The Notes are unsecured senior obligations that rank equally with all of the company’s other existing and future unsubordinated debt. Interest on the Notes is payable at an annual rate of 6.000% on May 15 and November 15 of each year, beginning on May 15, 2027. The Notes mature on November 15, 2036.

The Notes were issued pursuant to an indenture dated March 26, 2009, between Atmos Energy and U.S. Bank Trust Company, National Association, as trustee. The Indenture includes covenants that restrict the company’s ability to grant liens, engage in sale and leaseback transactions, consolidate, merge, or sell substantially all assets. It also provides for events of default, including interest payment failures, covenant breaches, and bankruptcy events.
