Aperture AC (NASDAQ: APUR) and Atlantic HPC Group Inc. announced on September 30, 2026, that Atlantic completed the acquisition of 100% of the membership interests of Valley Oasis Development LLC. The transaction, finalized on September 23, 2026, adds 29 megawatts (MW) of aggregate contract demand to Atlantic’s portfolio.

Valley Oasis holds two power contracts with the Dyersburg Electric System, a local utility company serving the Tennessee Valley Authority (TVA) region. The contracts, dated September 3, 2026, specify a contract demand of 14.5 MW each. The property is located at 1 Bekaert Drive in Dyersburg, Tennessee, and includes a one-acre land lease. The site is described as substation-adjacent with heavy-industrial zoning suitable for bitcoin mining and high-density artificial intelligence compute deployments.

Atlantic indicated that approximately 14.5 MW of power can be served on existing utility infrastructure following the completion of utility construction. The remaining 14.5 MW requires transformer upgrades. The acquisition brings Atlantic’s total utility-approved capacity to 127 MW across facilities in Oklahoma, Arkansas, Ohio, and Tennessee.

The filing also references a proposed business combination among Atlantic, Aperture, and AP Ocean Merger Sub, Inc. Aperture and Atlantic intend to file a registration statement on Form S-4 with the SEC to detail the terms of this combination. The filing includes standard forward-looking statements regarding the development, energization, and timing of the Tennessee site, as well as risks associated with utility construction, permitting, and the completion of the business combination.
