On October 19, 2026, Atkore Inc. announced the completion of its acquisition by Prysmian S.p.A., an Italian company, pursuant to an Agreement and Plan of Merger dated August 2, 2026. Under the terms of the agreement, Merger Sub merged with and into Atkore, with Atkore surviving as a wholly owned subsidiary of Prysmian.

As part of the transaction, all outstanding shares of Atkore common stock were converted into the right to receive $95.00 in cash per share. The aggregate cash consideration paid by Prysmian is approximately $3.3 billion, funded through a combination of equity and debt financing.

Atkore has terminated all commitments under its credit facilities, including a Term Loan Credit Agreement dated May 26, 2021, and an Amended and Restated Credit Agreement dated August 28, 2020. Additionally, the company redeemed all outstanding 4.25% Senior Notes due 2031. In accordance with the Indenture governing these notes, Atkore redeemed $400 million in aggregate principal amount at a price of 102.125% of the principal amount, plus accrued interest.

Following the merger, Atkore’s common stock, previously traded on the New York Stock Exchange under the symbol ATKR, was delisted. The company requested that the NYSE halt trading and withdraw the listing, and it intends to file a Form 15 with the SEC to terminate the registration of its stock and suspend its reporting obligations.

At the effective time of the merger, Atkore’s board of directors and executive officers were replaced. The outgoing directors included Michael V. Schrock, Franklin S. Edmonds, Jr., and William E. Waltz, Jr., among others. The incoming board appointed Andrea Pirondini, Saskia Maria Veerkamp, and Paul Furtado. The incoming officers appointed were Andrea Pirondini as President and Chief Executive Officer, Saskia Maria Veerkamp as Vice President, Federico Urban as Vice President and Treasurer, and Matthew O. Wagner as Vice President and Corporate Secretary.
