Aterian, Inc. has announced the appointment of former Chief Executive Officer Arturo Rodriguez as an independent contractor and the dismissal of its previous auditor, UHY LLP.
On October 2, 2026, the Board of Directors approved a consulting agreement with Mr. Rodriguez. He will provide limited advisory services at a rate of $250 per hour, subject to a weekly limit of 12 hours and an aggregate fee cap of $77,000. Mr. Rodriguez is expected to begin his consulting role on October 2, 2026, and continue through November 20, 2026. Following this period, the engagement will transition to a month-to-month basis, ending no later than March 31, 2027.
In a separate matter, the company dismissed UHY LLP as its independent registered public accounting firm, effective October 2, 2026. The Audit Committee approved the engagement of Haskell & White LLP to serve as the new auditor for the fiscal year ending December 31, 2026.
The filing notes that UHY’s reports on the Company’s consolidated financial statements for the fiscal years ended December 31, 2025 and December 31, 2024, included an explanatory paragraph stating there is substantial doubt about the Company’s ability to continue as a going concern. The reports indicated that the Company has incurred recurring losses from operations and negative operating cash flows since inception.
