Arrow Electronics, Inc. has entered into Amendment No. 36 to its Transfer and Administration Agreement, dated March 21, 2001, governing the company's North American Asset Securitization Facility. The amendment was executed on September 2, 2026.
The agreement has been modified to extend the maturity date from September 10, 2027, to September 2, 2029. Additionally, the facility limit has been increased from $1.5 billion to $1.75 billion.
Other changes to the agreement include the addition of a step-up provision. This provision temporarily raises the maximum permitted leverage ratio in the event of certain material acquisitions. The amendment also modifies specific definitions and conditions within the facility.
The participating banks in the North American Asset Securitization Facility include Bank of America, National Association; PNC Bank, National Association; Truist Bank; Wells Fargo Bank, N.A.; Mizuho Bank, Ltd.; and Sumitomo Mitsui Banking Corporation.
