On October 23, 2026, Arcosa, Inc. completed a merger with CRH Americas, Inc. and its subsidiary Neon Merger Sub, Inc. Under the terms of the Agreement and Plan of Merger dated June 21, 2026, Arcosa became a wholly-owned subsidiary of CRH Americas, an indirect wholly owned subsidiary of CRH plc.
At the effective time of the merger, each share of Arcosa common stock was converted into the right to receive $150.00 in cash, less applicable withholding taxes. Additionally, outstanding unvested restricted stock awards and restricted stock units were vested at the closing and converted into cash consideration based on the same $150.00 per share rate plus any accrued dividend equivalents. The aggregate cash consideration paid was approximately $7.5 billion.
In connection with the merger, Arcosa terminated its Second Amended and Restated Credit Agreement. The company repaid approximately $450.1 million in principal, accrued interest, and other amounts due, terminating all obligations under the facility without incurring material early termination fees.
As a result of the change in control, all directors and officers of Arcosa resigned. The directors and officers of Neon Merger Sub assumed these roles at the Company. Following the merger, Arcosa requested that the New York Stock Exchange and NYSE Texas suspend trading of its common stock and remove it from listing. Trading was halted prior to the opening of trading on October 23, 2026, and the Company intends to file a Form 15 with the SEC to terminate its registration under the Exchange Act.
