Apogee Enterprises, Inc. announced on October 29, 2026, that the Board of Directors approved an extension of the employment term for Chief Executive Officer and Executive Chair Donald A. Nolan. The extension, effective November 1, 2026, through April 30, 2027, was approved by the Board following a recommendation from the Compensation Committee. The extension is intended to provide continuity of leadership while the Board conducts a search for a permanent Chief Executive Officer.
Under the terms of the extension, Mr. Nolan will continue to receive an annualized base salary of $925,000. Additionally, he is eligible for a transition bonus of up to $250,000, contingent upon his performance in supporting the transition to a permanent CEO. The compensation package also includes a one-time cash payment of $25,000 for travel and lodging expenses.
Mr. Nolan will also receive monthly grants of time-based restricted stock units. These grants have an annualized target grant-date value of $1,750,000, prorated for the duration of the extended term, resulting in a target value of $145,834 per monthly grant. Each unit award will vest on the first anniversary of its grant date.
The filing notes that Mr. Nolan will cease serving as Chief Executive Officer upon the commencement of the permanent CEO's employment but will remain an employee of the Company and continue serving as Executive Chair through the remainder of the Extended Term. Previously granted restricted stock units will remain eligible to vest subject to applicable conditions.
