Antares Strategic Credit Fund II LLC (the “Fund”) and its investment adviser, Antares Capital Credit Advisers LLC (the “Adviser”), entered into a waiver letter agreement on August 31, 2026. This agreement serves to further extend the waiver of fees payable to the Adviser.
Under the terms of the waiver, the Adviser has agreed to irrevocably waive two specific fees from September 1, 2026, through August 31, 2027. These include the base management fee due under Section 5(a) of the Investment Advisory Agreement, dated June 26, 2025, and the incentive fee due under Section 5(b) of the same agreement. The waiver may be effected by a rebate or otherwise.
The waiver is effective for the period from September 1, 2026, through August 31, 2027. The filing states that the description of the material provisions is a summary and is qualified in its entirety by reference to a copy of the Agreement, which is filed as Exhibit 10.1 to this Current Report on Form 8-K.
