On September 29, 2026, American Resources Corporation (ARC) entered into an Asset Purchase Agreement with Wyoming County Coal LLC (WCC) to acquire specific assets located in Wyoming County, West Virginia. The transaction, which became effective upon execution, involves the transfer of real property, structures, fixtures, and equipment owned by WCC.
The purchase price is set at $40.0 million. This amount represents the settlement of pending litigation in the United States District Court for the Southern District of Indiana, Case No. 1:25-cv-02596, captioned UMB Bank, N.A. v. Wyoming County Coal LLC, et al.
Under the terms of the agreement, ARC is acquiring the specified assets free and clear of liens and encumbrances, with the exception of any encumbrances noted in the deed. The acquired real estate includes rights to valuable elements and minerals that may be contained within refuse piles on the property.
Notably, the transaction is an acquisition of assets and does not include the assumption of WCC's mining operations, permits, licenses, or historical liabilities. ARC is not assuming asset retirement obligations (AROs) or other operating liabilities associated with WCC's prior mining activities.
ARC intends to evaluate the Acquired Assets as part of its broader critical-mineral feedstock and resource strategy. The company plans to assess the potential recovery and beneficial utilization of valuable critical elements and minerals within legacy refuse materials, subject to applicable permitting and regulatory requirements.
The deed conveying the real property is scheduled to be executed within 60 days of the effective date and recorded in Wyoming County, West Virginia. Prior to the deed's execution, ARC has the right to assign the real property to a subsidiary of the company.
