On September 11, 2026, American Rebel Holdings, Inc. entered into an amendment to the employment agreement of Corey Lambrecht, the company’s President and Chief Operating Officer. The amendment extends the expiration date of the agreement to December 31, 2029.

Under the terms of the amendment, the company agreed to adjust certain compensation arrangements within the agreement. A copy of the amendment is attached as Exhibit 10.1 to the current report.

On September 11, 2026, Corey Lambrecht received 25,000 shares of Series A - Super Voting Convertible Preferred Stock. On September 14, 2026, 1800 Diagonal Lending LLC converted approximately $55,000 of principal owed on a promissory note dated March 9, 2026, into 592,649 shares of common stock. On September 15, 2026, Silverback Capital Corporation was issued 500,000 shares of common stock, and Streeterville Capital, LLC received 697,674 shares of common stock pursuant to a note exchange agreement executed on September 15, 2026.

The company also disclosed a note exchange with Streeterville Capital, LLC. On September 15, 2026, the company and Streeterville agreed to partition a new Secured Promissory Note in the principal amount of $93,000 from a previous note with an original issuance date of June 26, 2025, and a principal amount of $5,470,000. The outstanding balance of the original note was reduced by the initial outstanding balance of the partitioned note. Concurrently, the Partitioned Note was exchanged for 697,674 shares of common stock.

Additionally, the company furnished press releases regarding its marketing initiatives. On September 9, 2026, the company announced the release of a new "LINCOLN - BE A REBEL" campaign video featuring American Rebel Founder and CEO Andy Ross and a creative portrayal of President Abraham Lincoln. The release highlighted that American Rebel Light Beer is scheduled to be served at Lincoln Financial Field for the Philadelphia Eagles' regular-season home opener against the Washington Commanders on September 13, 2026.
