Amazon.com, Inc. has closed the sale of four series of debt securities, totaling $4.242 billion in aggregate public offering price. The company reported that the estimated net proceeds from the transaction amount to approximately $4.235 billion, after deducting underwriting discounts but before offering expenses.

The debt issuance consists of the following four series of notes:

The notes were issued pursuant to an Indenture dated November 29, 2012, between Amazon and Wells Fargo Bank, National Association, as trustee. This agreement was amended and supplemented by a Supplemental Indenture dated April 13, 2022, which established Computershare Trust Company, National Association as the successor trustee. The terms of the notes are further detailed in an Officers’ Certificate dated September 14, 2026.

The offering was conducted under a registration statement on Form S-3 filed with the Securities and Exchange Commission on February 6, 2026 (File No. 333-293246). The transaction was executed pursuant to an Underwriting Agreement dated September 9, 2026, among Amazon and the named underwriters.
