Amaze Holdings, Inc. has entered into a securities purchase agreement with C/M Capital Master Fund, LP, dated October 15, 2026. Under this agreement, the Company has the right, but not the obligation, to sell up to $100 million of newly issued common stock to the Purchaser. The agreement is set to commence once a resale registration statement is declared effective and will remain in effect for a term of 36 months.
The purchase terms include a "Fixed Purchase" mechanism, where the Company may direct the Purchaser to buy shares on days when the previous day's closing price is at least $0.01. The price for these shares is set at 95% of the lesser of the five-day volume-weighted average price (VWAP) or the lowest sales price from the prior day. Additionally, the Company may direct purchases on days when specific volume thresholds are met, known as "VWAP Purchases," with a maximum aggregate purchase price of $2,000,000 per day.
As consideration for the agreement, the Company agreed to pay a commitment fee of $2,000,000. This fee is payable in 1,000,000 shares of Series F Convertible Preferred Stock with a stated value of $2.00 per share. These shares are convertible into common stock at a price of $0.025 per share and are subject to a beneficial ownership limitation of 4.99% (or 9.99% with notice). The Company also agreed to reimburse the Purchaser up to $15,000 in legal fees.
In a separate filing on October 12, 2026, the Company filed a Certificate of Designation with the Nevada Secretary of State to create Series X Preferred Stock. This preferred stock has voting rights solely regarding proposals to amend the Articles of Incorporation, specifically to increase authorized common stock to not more than 4,000,000,000 shares or to effect reverse stock splits with a ratio between 1-for-2 and 1-for-500.
