Alkermes plc announced on September 14, 2026, that it has appointed Anne C. Whitaker as an independent director to its Board of Directors, effective immediately. The appointment increases the total number of directors on the Board from ten to eleven. Whitaker’s initial term is set to expire at the company’s 2027 annual general meeting of shareholders.

According to the filing, Whitaker has not yet been assigned to any specific committees of the Board. Her compensation will include an annual cash retainer and an annual equity grant, consistent with the terms outlined in the Company’s definitive proxy statement filed with the SEC on April 6, 2026.

As part of her appointment, Whitaker is set to receive an initial new director equity award with a target value of $600,000. This grant consists of 50% stock options and 50% restricted stock unit awards. The awards are scheduled to vest in three equal annual installments beginning one year after the grant date, subject to her continued service. The stock options will have an exercise price equal to the closing price of Alkermes ordinary shares on the grant date.

The Company has also entered into a deed of indemnification and an indemnification agreement with Whitaker, both in substantially the same form as previously filed exhibits. Whitaker is not, nor has she been since January 1, 2025, a participant in any transaction with the Company that requires disclosure under Regulation S-K.

In the accompanying press release, Alkermes highlighted Whitaker’s background as a seasoned biopharmaceutical executive. She most recently served as CEO of Aerami Therapeutics and previously held CEO roles at Novoclem Therapeutics and Synta Pharmaceuticals. Prior to these roles, she held senior commercial and executive leadership positions at Bausch Health Companies, Sanofi, and GlaxoSmithKline. Whitaker currently serves on the boards of publicly traded companies Basilea Pharmaceutica Ltd and ICON plc, as well as several private life sciences companies.
