Ainos, Inc. entered into a Global Exclusive License Agreement with BioPhoenix Co., Ltd. on September 24, 2026, to advance its VELDONA low-dose oral interferon alpha technology platform. Under the terms of the agreement, BioPhoenix has been granted an exclusive, worldwide license to research, develop, manufacture, and commercialize VELDONA for Sjögren’s Disease and Thrombocytopenia.

The license agreement covers all countries and territories worldwide. BioPhoenix is responsible for funding and executing the clinical and regulatory activities for these two initial indications. In exchange, Ainos will receive an upfront license fee of $600,000, which is due after BioPhoenix receives the complete data package and confirms that technology transfer is complete.

BioPhoenix is also obligated to pay a one-time fee upon granting its first sublicense to a third party. If BioPhoenix licenses all available additional VELDONA indications, the total license fees payable to Ainos, including the upfront fee and the first sublicense fee, would amount to approximately $10.0 million.

In addition to these fees, Ainos is entitled to retain 25% of BioPhoenix’s net sublicensing revenue for the Licensed Indications. The agreement allows BioPhoenix to license other non-licensed VELDONA indications through separate written agreements. The license term continues on an indication-by-indication and country-by-country basis until the later of the expiration of the last-to-expire patent covering the applicable indication or 20 years from the Effective Date.

Ainos stated that this partnership reduces its need to independently finance development and expand its pharmaceutical organization. The company will retain ownership of its existing VELDONA platform and background intellectual property, subject to the rights granted under the agreement.
