AIB Data Centers Inc. has entered into a definitive agreement with Jason K. Burnett to serve as its Chief Operations Officer, effective October 26, 2026. The appointment was announced in a press release on October 28, 2026, and the details were filed with the SEC on October 23, 2026. Mr. Burnett will report directly to Chief Executive Officer Jerry Tang and will be responsible for overseeing construction execution, procurement, and data center operations.

Mr. Burnett brings over 20 years of experience in data center, cloud, and managed infrastructure operations. His previous roles include Chief Operating Officer of Hivelocity, a provider of bare metal, colocation, and private cloud infrastructure with approximately 50 data centers globally, from 2024 to 2026. Prior to that, he served as Vice President of Customer Operations at DataBank, Ltd., and held operations leadership positions at Contegix, Hosting.com, and NeoSpire.

In connection with the appointment, the Company and Mr. Burnett entered into an Offer Letter and a Site Delivery Bonus Agreement. Under the Offer Letter, Mr. Burnett is entitled to an initial annual base salary of $250,000, which will increase to $300,000 upon the closing of financing for the Company's CLT1 site and to $350,000 upon the closing of financing for the Company's next site. The salary is subject to adjustment by the Company in its sole discretion.

The Site Delivery Bonus Agreement ties compensation to the successful delivery of data center sites to customers. Mr. Burnett is eligible to earn a bonus for each site delivered under a signed lease, with the amount determined by the IT load (measured in megawatts) contracted. Bonuses are paid in three stages: 25% upon the closing of site financing and commencement of construction, 25% upon energization and completion of commissioning, and 50% upon customer handoff. The portion payable at customer handoff may be increased by up to 50% or decreased by 50% based on delivery performance relative to the lease delivery date.

The Company has also entered into indemnification agreements with all current directors and executive officers, including Mr. Burnett. These agreements provide for the indemnification of officers and directors against expenses and liabilities incurred in connection with proceedings related to their service to the Company, to the fullest extent permitted by Delaware General Corporation Law.
