AIAI Holdings Corporation (NASDAQ: AIAI) entered into a Services Agreement with Messier 42 LLC (M42) on October 26, 2026, to establish a War Tech Consortium. The Consortium aims to acquire or partner with defense technology companies to sell military equipment and services in the United States and internationally.
Under the terms of the agreement, AIAI will provide M42 with administrative, due diligence, merger and acquisition, debt and equity, capital markets, and technology services. The Company will also provide strategic advisory work and develop frameworks for determining which products and companies participate in the Consortium.
In exchange for these services, M42 will pay AIAI fees based on an agreed percentage of the net proceeds generated by the company or contract to which M42 is a party. The initial fee payable to AIAI is 50% of the net proceeds generated by the Existing Agreement. This agreement involves the sales of military equipment and services, specifically anti-drone technology that has a proven record of success in eliminating individual drones and "drone swarms." The Existing Agreement is the first of several similar transactions the Consortium intends to acquire or develop.
Based on projections provided by M42, the Services Agreement is anticipated to generate approximately $125 million in cash for AIAI in 2027, based on the current sales pipeline. The Company stated that the transaction will be accretive to earnings per share for its existing shareholders.
The announcement notes that the Consortium will focus on applying psychometric AI, a key component of AIAI’s proprietary Transformational Artificial Intelligence (TAI), to a central platform brain. This is intended to create opportunities for the immediate insertion of new weaponry and cyber security bots. The transaction is described as an expansion of a capital contribution previously announced on September 18, 2026.
