Churchill Capital Corp XI (Nasdaq: CCXI) and Agility Robotics, Inc. have announced the expected terms of a business combination that will result in Agility becoming a publicly traded company. According to a joint press release filed with the SEC on October 30, 2026, Agility’s gross capital raise in connection with the proposed transaction and related financings is expected to total approximately $465 million, before transaction expenses.

The capital raise is comprised of three components: approximately $164 million from Churchill XI’s trust account; approximately $201 million from a common stock private investment in public equity (PIPE) committed at $10 per share; and $100 million of equity funding already received following the announcement of the business combination. The PIPE financing is led by Foxconn with participation from leading existing and new institutional investors.

Subject to approval by Churchill XI shareholders at an extraordinary general meeting scheduled for November 2, 2026, the transaction is expected to close on November 4, 2026. Following the closing, the combined company will operate as Agility Robotics, and its common stock is expected to begin trading on the Nasdaq Stock Market under the ticker symbol "AGLT" on November 5, 2026.

Agility Robotics is a humanoid robotics and physical AI company headquartered in Salem, Oregon, with offices in Pittsburgh and Fremont. The company’s flagship product is Digit, a general-purpose humanoid robot designed for industrial workflows. Agility reports more than 65,000 hours of real-world operation and has disclosed more than $300 million in committed multi-year orders for its Digit 5 model, which is expected to begin deliveries to early-access customers in the first half of 2027 and achieve general availability by the end of 2027.

Under the terms of the agreement, all existing Agility shareholders will roll their equity into the combined company and will be subject to a 180-day lock-up at closing. Agility is supported by strategic investors including NVIDIA, Amazon, SoftBank Vision Fund 2, Schaeffler, Foxconn, Abico, DCVC, and Playground Global.
