AFS SenSub Corp. has entered into definitive agreements to facilitate the issuance of approximately $908 million in asset-backed notes through a newly formed trust entity.
The filing details that AFS SenSub, acting as the depositor, and AmeriCredit Financial Services, Inc. d/b/a GM Financial, acting as the sponsor, will cause the GM Financial Consumer Automobile Receivables Trust 2026-4 to issue seven classes of notes on October 14, 2026. The total principal amount of the notes is $908,080,000.
The issuance includes:
- $198,000,000 Class A-1 4.258% Asset Backed Notes
- $280,610,000 Class A-2-A 4.78% Asset Backed Notes
- $75,000,000 Floating Rate Asset Backed Notes (Class A-2-B)
- $355,610,000 Class A-3 5.26% Asset Backed Notes
- $74,180,000 Class A-4 5.36% Asset Backed Notes
- $16,710,000 Class B 5.54% Asset Backed Notes
- $15,670,000 Class C 5.64% Asset Backed Notes
The notes will be sold to a syndicate of underwriters led by SMBC Nikko Securities America, Inc., including Deutsche Bank Securities Inc., J.P. Morgan Securities LLC, MUFG Securities Americas Inc., TD Securities (USA) LLC, BNP Paribas Securities Corp., Credit Agricole Securities (USA) Inc., Great Pacific Securities, and SG Americas Securities, LLC.
The assets backing the notes consist primarily of prime automobile loan contracts secured by new and used automobiles, light duty trucks, and utility vehicles. The transaction documents include a Purchase Agreement between GM Financial and AFS SenSub, a Sale and Servicing Agreement among the Issuing Entity, AFS SenSub, GM Financial, and BNY Mellon as Trust Collateral Agent, and an Asset Representations Review Agreement with Clayton Fixed Income Services LLC.
