Addus HomeCare Corporation announced on September 14, 2026, that it has entered into a definitive agreement to acquire the personal care division of AccentCare, Inc.

The transaction involves the purchase of the personal care and community care business outside the state of New York. This includes ten specific entities, known collectively as the Transferred Entities, such as Guardian Personal Care Services of Georgia, LLC, Texas Home Health of America, LP, and Nurses Unlimited, Inc. Additionally, the acquisition includes certain assets and liabilities of AccentCare Home Health of Mountain Valley, LLC.

Under the terms of the Equity and Asset Purchase Agreement, Addus HealthCare, a wholly-owned subsidiary of Addus HomeCare, will pay a purchase price of $275,000,000 in cash. This amount is subject to customary adjustments for working capital and other items. The deal is not contingent on obtaining third-party financing.

The acquisition is expected to add approximately $280 million in annualized revenue to Addus, representing a roughly 19% increase to the company's revenue base. The acquired operations serve an average daily census of approximately 13,700 customers across a 10-state footprint. The transaction is expected to be accretive to Addus' financial results.
