The company entered into an underwriting agreement on September 29, 2026, with Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC as representatives of the underwriters. The IPO closed on October 1, 2026.
Under the terms of the agreement, the company offered 10,000,000 shares of Class A common stock, and the selling stockholders offered an additional 20,000,000 shares. These shares were sold at a public offering price of $18.00 per share. The underwriters were granted a 30-day option to purchase up to an additional 4,500,000 shares of Class A common stock to cover over-allotments.
In connection with the IPO, the company issued 116,965,529 shares of Class B common stock to Accelevation Investment Holdings LLC. This issuance was made in reliance on Section 4(a)(2) of the Securities Act and Rule 506.
