5E Advanced Materials, Inc. announced the completion of an asset acquisition on October 1, 2026. The transaction, executed by its wholly owned subsidiary 5E SVM, LLC, involved the purchase of specified real property, production facilities, brine resources, and other assets from Searles Valley Minerals Inc., Trona Railway Company LLC, and Searles Domestic Water Company LLC.

The consideration for the acquisition was structured in three parts. 5E SVM paid approximately $3.4 million in cash, which included a previously paid deposit. The company issued 8.3 million shares of its common stock to the Sellers. Additionally, 5E SVM issued a senior unsecured promissory note to certain lenders of the Sellers in an aggregate amount of approximately $6.2 million.

The unsecured promissory note accrues interest at a rate of 14.5% per annum, with interest capitalized quarterly. The note requires a cash payment of approximately $1.2 million on the 24-month anniversary of the closing date and matures on the fifth anniversary of the closing date. The company has the right to prepay the note in cash without premium or penalty.

In addition to the unsecured note, 5E SVM entered into a senior secured promissory note with Karnavati Holdings, Inc. This bridge facility provides $10.0 million in financing, secured by substantially all of 5E SVM’s assets and guaranteed by the parent company. The bridge facility accrues interest at 8.00% per annum, with interest capitalized quarterly. On the closing date, the company received $7.0 million under this facility, with the remaining $3.0 million to be funded at a later date. The bridge facility matures 270 days after the closing date and includes a $1.0 million transaction fee payable at maturity.

As of the closing date, the company reported 49,634,871 shares of common stock issued and outstanding. The company stated it expects to report $15.7 million in cash and cash equivalents as of September 30, 2026, which increased to $19.6 million after giving effect to the transactions.
