22nd Century Group, Inc. has filed a Certificate of Amendment to authorize a 1-for-58 reverse stock split of its common stock. The filing, submitted on November 3, 2026, to the Secretary of State of Nevada, states that the split is intended to restore compliance with the continued listing standards of the NASDAQ Capital Market.
The reverse split will become effective at 12:01 a.m. Eastern Time on November 5, 2026. Following the split, the Company’s shares will continue to trade on NASDAQ under the symbol “XXII” but will be assigned a new CUSIP number, 90137F806. The split will be reflected in the marketplace at the open of business on November 5, 2026.
Under the terms of the split, each stockholder’s total number of shares will be converted automatically into a whole number equal to the number of shares held prior to the split divided by 58. The Company will issue one whole share to any stockholder who would otherwise be entitled to a fractional share.
As of November 2, 2026, immediately prior to the effective date, the Company had 31,949,758 shares of common stock outstanding. Following the split, there will be approximately 550,858 shares outstanding. The Company’s authorized share count remains at 500,000,000 shares. The reverse split will not affect the par value of the common stock, and the voting power of stockholders will remain virtually unchanged, aside from minor adjustments resulting from the rounding of fractional shares.
Outstanding options, warrants, and shares of Series A preferred stock will be appropriately adjusted as a result of the split. The filing indicates that stockholder approval was required under Nevada law because the split did not proportionately reduce the authorized shares.
