1-800-FLOWERS.COM, Inc. has entered into a definitive agreement to sell its PersonalizationMall.com and Things Remembered businesses to PlanetArt, LLC. The transaction, announced on September 29, 2026, involves the sale of assets and the assumption of certain liabilities for a total cash consideration of approximately $45 million. The deal is subject to customary closing conditions and is expected to close within the coming weeks.
Under the terms of the agreement, 1-800-FLOWERS.COM will retain the right to offer select PersonalizationMall products to its customers through a commercial agreement with PlanetArt. The company also plans to enter into a transition services agreement to facilitate a smooth separation of the businesses.
The company stated that the sale is part of its ongoing efforts to simplify its business portfolio and sharpen its focus on its primary brands. 1-800-FLOWERS.COM plans to reinvest a portion of the proceeds into revenue-generating initiatives across its core brands. The company noted that its fiscal 2027 guidance, provided on September 10, 2026, did not account for the impact of this transaction, and it expects to provide an update regarding its financial outlook in conjunction with its fiscal 2027 first quarter earnings release.
